1. INTRODUCTION

1.1 These Terms & Conditions govern your use of Alté Films and any film or material you submit to us. By using our website, registering your interest, or submitting a film, you agree to these terms.

1.2 Alté Films is operated by BlackMode Media Ltd (trading as Alté Films). References to “Alté Films”, “we”, “us”, or “our” refer to this entity.

1.3 Alté Films is a streaming platform that showcases African and diaspora films. We support the release of selected films, promote them, and build a community around the work and the filmmakers behind it.

2. USE OF THE PLATFORM

2.1 You agree to use Alté Films in a lawful and responsible manner.

2.2 You must not use the platform in any way that is harmful, misleading, unlawful, or that interferes with its operation.

2.3 We reserve the right to restrict access or remove content where we reasonably believe these terms have been breached.

3. SUBMISSION OF FILMS

3.1 When you submit a film or project, you confirm that you own the film or have the authority to submit it, and that all rights, including music, footage, and performances, have been properly cleared.

3.2 You are responsible for ensuring that all information you provide is accurate and complete.

3.3 Submission of a film does not guarantee acceptance onto the platform, and all submissions are reviewed at our discretion.

4. LICENSING

4.1 By submitting your film, you grant Alté Films a non-exclusive licence to review, host, stream, and promote your film if it is selected.

4.2 This licence includes the right to use clips, stills, posters, titles, and excerpts for promotional purposes across the platform and related channels.

4.3 You retain full ownership of your film and remain free to show it elsewhere unless otherwise agreed in writing.

5. SELECTION & RELEASE

5.1 All submissions are reviewed and selected at our discretion.

5.2 If your film is selected, we will agree the relevant terms with you before anything is published or released on the platform.

6. REVENUE & PAYMENTS

6.1 Where your film is monetised, revenue generated directly from the film will be shared between you and Alté Films, with seventy percent (70%) payable to you and thirty percent (30%) retained by Alté Films, unless otherwise agreed in writing.

6.2 Revenue may be generated through pay-per-view, subscription viewing linked to performance, or advertising associated with the film.

6.3 Performance will be calculated on a monthly basis.

6.4 We aim to provide a performance report within thirty (30) days after the end of each calendar month, and payment will be made within a reasonable period after that report is issued.

6.5 Payments may be subject to transaction fees, bank charges, or applicable taxes where required.

6.6 You acknowledge that we do not guarantee any minimum revenue, audience size, or performance.

7. AI USAGE

7.1 If your film includes any use of artificial intelligence, you must disclose this to us.

7.2 By submitting your film, you confirm that any AI-generated or assisted content does not infringe the rights of any third party and that you have all necessary permissions to use such content.

8. CONTENT RESPONSIBILITY

8.1 You remain fully responsible for the content you submit to Alté Films.

8.2 You agree to indemnify Alté Films against any claims, losses, or damages arising from copyright infringement, lack of permissions, or any misrepresentation of ownership.

9. CONTENT REMOVAL

9.1 We may remove or restrict access to content where we reasonably believe it breaches these terms, infringes rights, or is unlawful or harmful.

9.2 We may also remove content where required by law or following a valid third-party complaint.

10. INTELLECTUAL PROPERTY

10.1 All platform materials, including branding, design, and website content (excluding submitted films), belong to Alté Films or are used with permission.

10.2 You may not copy, reproduce, or use these materials without prior written consent.

11. PLATFORM AVAILABILITY

11.1 We aim to keep the platform available and functioning, but we do not guarantee uninterrupted or error-free access.

11.2 We may update, change, suspend, or remove parts of the platform at any time.

12. LIMITATION OF LIABILITY

12.1 Alté Films provides the platform on an “as is” and “as available” basis.

12.2 To the fullest extent permitted by law, we are not liable for any loss of revenue, loss of profits, technical issues, interruptions, or failures caused by third-party services or factors outside our control.

13. TERMINATION

13.1 Either party may end the relationship by giving not less than two (2) months’ written notice.

13.2 During the notice period, content may remain on the platform unless otherwise agreed in writing.

13.3 At the end of the notice period, the content will be removed within a reasonable timeframe.

13.4 We may terminate the relationship immediately without notice where there is a serious breach of these terms, including copyright infringement, unlawful activity, or misrepresentation.

14. CHANGES TO TERMS

14.1 We may update these Terms & Conditions from time to time.

14.2 Continued use of the platform after updates means you accept the revised terms.

15. GOVERNING LAW

15.1 These terms are governed by the laws of England and Wales.
