4. CLIENT RESPONSIBILITIES

4.1 Clients are responsible for providing accurate, complete and timely information required for ALTÉ Films to perform the agreed services.

4.2 Clients must disclose relevant AI tools, workflows, materials and proposed uses where these fall within the agreed scope of the engagement.

4.3 Clients remain responsible for their own production, editorial and commercial decisions.

4.5 ALTÉ Films is not responsible for consequences arising from incomplete, inaccurate or undisclosed information provided by the client.

5. AI TOOL AND WORKFLOW RECOMMENDATIONS

5.1 ALTÉ may recommend AI tools, services, vendors or workflows based on the information available at the time of the engagement.

5.2 AI technology, provider terms, capabilities, pricing, security arrangements and regulatory requirements may change rapidly.

5.3 Recommendations therefore reflect our assessment at the time they are made and do not constitute a guarantee that any tool or service will remain suitable indefinitely.

5.5 ALTÉ Films does not control third-party AI platforms and is not responsible for changes to their functionality, terms, data practices or availability.

6. AI RISK, GOVERNANCE AND COMPLIANCE

6.1 ALTÉ may identify, assess, document and help manage risks associated with the use of AI within a production or organisation.

6.2 Risk classifications, assessments and recommendations are based on the information available to us and the circumstances of the specific project.

6.3 ALTÉ may recommend that certain uses of AI require additional approval, mitigation, human verification or specialist advice before proceeding.

6.4 The client retains responsibility for deciding whether to proceed with an AI use and for ensuring that all necessary approvals are obtained.

6.5 ALTÉ Films does not guarantee that the use of AI will be risk-free or that all possible risks can be identified in advance.

7.3 Where legal interpretation or formal legal advice is required, we may recommend that the matter is referred to the client’s Legal or Business Affairs team or an appropriately qualified adviser.

7.4 ALTÉ may also identify matters requiring review by Editorial, Data Protection, the broadcaster, commissioner or other relevant authority.

7.5 Final responsibility for legal, editorial, regulatory and commissioner compliance remains with the client and the relevant authorised decision-makers.

8. BROADCASTER, STREAMER AND INDUSTRY GUIDANCE

8.1 ALTÉ’s services may take account of current guidance, policies and frameworks issued by broadcasters, streamers, commissioners and industry bodies.

8.2 Such guidance may change from time to time.

8.3 Clients remain responsible for confirming any project-specific contractual, editorial or delivery requirements directly with their broadcaster, streamer, commissioner or other relevant organisation.

8.4 References to any broadcaster, streamer or industry body on our website do not imply endorsement, partnership or accreditation unless expressly stated.

9. CONFIDENTIALITY

9.1 We recognise that consultancy engagements may involve confidential, commercially sensitive or unreleased production information.

9.2 ALTÉ Films will take reasonable steps to protect confidential information provided to us and will use such information only as necessary to perform the agreed services.

9.3 Confidential information may include scripts, treatments, budgets, production documentation, contributor information, AI usage records, workflows, unreleased programme material and business information.

9.4 Where a separate non-disclosure agreement or confidentiality agreement is required, this may be entered into before sensitive material is shared.

9.5 Clients should not submit highly confidential material through general website enquiry forms unless specifically requested.

10. DATA AND MATERIAL PROVIDED TO ALTÉ

10.1 Clients retain ownership of materials, information and production content supplied to ALTÉ Films unless otherwise agreed in writing.

10.2 Clients confirm that they have the authority to provide such material to us for the purposes of the engagement.

10.3 ALTÉ will not knowingly use client confidential production material to train public generative AI models without the client’s prior agreement.

10.4 Where third-party AI or technology services are required as part of an engagement, their use will be subject to appropriate assessment and, where necessary, client approval.

11. INTELLECTUAL PROPERTY

11.1 All website materials, branding, graphics, logos, text, methodologies and original content created by ALTÉ Films remain the intellectual property of ALTÉ Films unless otherwise stated or agreed in writing.

13. FEES AND PAYMENT

13.1 Fees for consultancy services will be set out in the relevant proposal, quotation, statement of work or service agreement.

13.2 Unless otherwise agreed, invoices are payable within the payment period stated on the invoice.

13.4 ALTÉ Films may pause work where invoices remain overdue.

14. CANCELLATION AND TERMINATION

14.1 Either party may terminate a consultancy engagement in accordance with the terms stated in the relevant proposal or service agreement.

14.2 Where no separate termination terms have been agreed, either party may terminate the engagement by providing reasonable written notice.

14.3 The client remains liable for fees relating to work completed, committed costs and approved expenses incurred up to the termination date.

14.4 ALTÉ Films may terminate or suspend an engagement immediately where:

  • there is a serious breach of these terms;

  • invoices remain materially overdue;

  • the client requests activity that we reasonably believe is unlawful or inappropriate; or

  • continuing the engagement could expose ALTÉ to unreasonable legal, ethical or reputational risk.
